Working for a highly prestigious financial services organisation based in central Edinburgh your job will be to support and assist the Group Company Secretary and Deputy Group Company Secretary in providing a comprehensive company secretarial and governance service to the boards and management committees within the group. The role has been created to ensure that the corporate governance and administration of these companies and committees meets all relevant regulatory requirements and internal governance standards.
This is a fantastic opportunity to work with a friendly and supportive team and to assist in the development and improvement or change to governance standards in reaction to changes in legislation, regulation, good practice or industry developments. You will be involved in the preparation of agendas, drafting board papers, preparing board packs, to organising board or committee/management meetings. This would also involve the preparation of documents for board or shareholder approval to the drafting board minutes for these committees/management meetings.
Support boards and/or board/management committees in embedding a corporate culture
Build and maintain strong working relationships with the executive and management teams, executive assistants, other business managers and the Group Secretariat team.
Work to tight deadlines, to produce high quality and accurate documents that deliver complex messages in line with inhouse governance and Board requirements.
Prepare agendas, draft board papers, prepare board packs, organise board and/or board committee/management meetings, prepare documents for board or shareholder approval and draft board minutes.
Maintain a comprehensive, up to date knowledge of UK company law.
Uphold confidentiality of sensitive corporate information acquired through the role.
Respond to business requirements in a timely and professional manner.
Support and assist in providing best practice company secretariat and governance services which meet all relevant regulatory requirements and internal governance standards.
Provide impartial, authoritative and reliable advice on corporate governance and company secretarial practice.
Maintain and keep up to date company books, management committee records (including Blueprint), and the lists and registers for which Group Secretariat is responsible.
Complete internal processes and statutory/filing requirements arising from board decisions such as windingup companies, completing capital injections/share allotments, appointing and removing directors, filing annual reports and accounts and confirmation statements.
Support the maintenance of applicable Board Charters, board and/or management committee Terms of Reference, and delegations of authority and ensure that authorised changes are tracked and implemented.
Assist in the identification and monitoring of developments in corporate governance and stewardship activities.
Lead or represent the relevant Group Secretariat division on corporate projects and ensure agreed governance standards are met by the business.
Assist with the completion and submission of the quarterly Group policy compliance and CSA returns.
Undergraduate Degree (or equivalent)
Institute of Chartered Secretaries and Administrators ICSA Working towards or qualified
Solicitor With experience in Company Secretarial
Modern central offices.
